If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Description of Service
SocialWay.ai is an AI-powered social media management platform that provides:
- AI-generated content creation for social media posts
- Content scheduling and publishing to connected platforms
- Social media analytics and performance insights
- Multi-platform management (Meta/Facebook, Instagram, LinkedIn, X, Bluesky)
- Content optimization and recommendations
The Service integrates with third-party social media platforms through their official APIs. Your use of connected platforms is also subject to their respective terms of service.
4. User Accounts
When you create an account, you must:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your password
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access or security breach
- Not share your account credentials with third parties
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.
5. Social Media Platform Integration
When you connect your social media accounts to SocialWay.ai, you acknowledge and agree that:

5.2 Authorization
You authorize SocialWay.ai to access and interact with your connected accounts on your behalf, including reading data, posting content, and retrieving analytics as permitted by each platform's API.
5.3 Platform Changes
Social media platforms may change their APIs, terms, or policies at any time. Such changes may affect the availability or functionality of our Service. We are not responsible for changes made by third-party platforms.
6. AI-Generated Content
Our Service uses artificial intelligence to generate content suggestions. By using this feature, you acknowledge that:
- AI-generated content is provided as suggestions and should be reviewed before publishing
- You are solely responsible for reviewing, editing, and approving all content before it is published
- AI-generated content may occasionally be inaccurate, incomplete, or inappropriate
- You must ensure all published content complies with applicable laws and platform policies
- We do not guarantee that AI-generated content will achieve specific results or engagement
You retain ownership of content you create or publish using our AI tools, subject to these Terms and applicable third-party terms.
7. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Infringe on intellectual property rights of others
- Transmit harmful, offensive, defamatory, or illegal content
- Engage in harassment, hate speech, or discrimination
- Post false, misleading, or deceptive content
- Distribute spam, unsolicited messages, or unauthorized advertising
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Service or its infrastructure
- Use automated means to access the Service except through our official API
- Reverse engineer, decompile, or attempt to extract source code
- Conduct surveillance or gather intelligence on individuals
- Engage in any activity that could harm minors
8. Intellectual Property

The Service, including its design, features, functionality, and underlying technology, is owned by SocialWay.ai and protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express permission.

You retain ownership of content you create using our Service. By using the Service, you grant us a limited, non-exclusive, royalty-free license to use, store, process, and display your content solely as necessary to provide and improve the Service.

If you provide feedback, suggestions, or ideas about our Service, you grant us the right to use such feedback without restriction or compensation.
9. Copyright and DMCA Policy

10. Payment Terms
10.1 Subscription Fees
Paid subscriptions are billed in advance on a monthly or annual basis. All fees are stated in US dollars unless otherwise indicated.
10.2 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You can cancel your subscription at any time through your account settings.
10.3 Refunds
Fees are generally non-refundable except as required by law. We may offer refunds at our discretion on a case-by-case basis.
10.4 Price Changes
We may change subscription prices with 30 days' notice. Price changes will apply to subsequent billing periods.
11. Privacy and Data Protection
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
You have the right to request deletion of your data at any time. Please see our Data Deletion Policy for instructions.
12. Termination
12.1 Termination by You
You may terminate your account at any time by deleting your account through the settings page or contacting us.
12.2 Termination by Us
We may suspend or terminate your account immediately, with or without notice, if you breach these Terms, if required by law, or if we discontinue the Service.
12.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Data Deletion Policy, except as required by law or legitimate business purposes.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure, that defects will be corrected, or that the Service or servers are free of viruses or harmful components.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIALWAY.AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or data
- Business interruption
- Loss of goodwill or reputation
- Cost of substitute services
- Any other intangible losses
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
15. Indemnification
You agree to indemnify, defend, and hold harmless SocialWay.ai and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your content posted through the Service.
16. Governing Law and Dispute Resolution
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
16.2 Dispute Resolution
Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
16.3 Class Action Waiver
You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SocialWay.ai.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
17.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
17.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
18. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page, updating the "Last updated" date, and/or sending you an email notification. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
